Agreement and scope
These Terms govern your use of prebreak.com and its related public informational pages (the “Site”), operated by Prebreak Inc. (“Prebreak”). By using the Site where these Terms are conspicuously presented, you agree to them to the extent permitted by law. Where we request affirmative acceptance for a feature, that acceptance governs your use of the feature. If you do not agree, do not use the Site.
The Acceptable Use Policy and AI and Entitlement Analysis Disclosure form part of these Terms for Site use. The Privacy Policy and Analytics and Cookies Policy explain information practices; acknowledgment of those notices is not consent to optional processing or a waiver of privacy rights.
Access to the Prebreak application, APIs, live customer projects, uploads, paid services, trials, or pilots requires the applicable customer or evaluation agreement. Invited external reviewers use the External Review Terms presented for their session. These Website Terms do not replace those agreements or reduce their warranties, service commitments, remedies, confidentiality, ownership, export, or data-protection rights. A demo request alone does not start a subscription or authorize billing. The Site is intended for adults acting for business purposes; you must have authority for commitments made on an organization’s behalf.
The Site and its content
The Site provides information about Prebreak’s products and perspectives on land entitlement. Content is provided for general informational purposes. Product descriptions may include developing, assisted, limited-coverage, or future capabilities. Availability and supported scope are determined by the applicable service documentation and agreement; a roadmap description is not a delivery commitment.
We may change, suspend, or discontinue Site content or features, subject to law and any separate agreement. Published customer examples require appropriate permission; illustrations and synthetic demonstrations should be identified as such. A case study is not a representation that another project will achieve the same result.
No legal, financial, or professional advice
Prebreak is not a law firm or a government agency. Nothing on the Site, including articles, briefings, demonstrations, models, calculators, or AI-assisted material, constitutes legal, financial, investment, tax, valuation, architectural, engineering, surveying, environmental, or other regulated professional advice, or creates an attorney-client or advisory relationship. Consult qualified professionals for your project.
The application is designed to assist supported entitlement analysis and coordinated decision-making. An analytical recommendation is not a professional certification, agency determination, or instruction to act without review. The AI and Entitlement Analysis Disclosure explains supported yield, coverage, readiness, forecasts, and required human judgment.
Intellectual property
The Site and its protected content, including text, graphics, illustrations, animations, code, and the Prebreak name and marks, are owned by Prebreak or its licensors and protected by intellectual-property laws. We grant a limited, revocable, non-exclusive license to access the Site for internal business evaluation and informational use. No other rights are granted except as required by law or expressly agreed.
Do not scrape, reproduce, create derivative works from, frame, mirror, or use our marks without written permission except as permitted by law or the Acceptable Use Policy. Public-domain law and independently obtained public records do not become Prebreak-owned merely because we link to or analyze them. Third-party source and license restrictions continue to apply. Customer ownership and use of customer project data and contracted outputs are governed by the customer agreement, not this Site license.
Your submissions
If you send an inquiry through the Site, you authorize us to process it to respond, administer the interaction, and maintain related records as described in the Privacy Policy. Do not send confidential project materials, privileged communications, personal financial records, or sensitive identifiers through public forms. Project materials should use an approved service under the appropriate agreement.
If you voluntarily provide nonconfidential product suggestions, you grant us a non-exclusive, worldwide, royalty-free license to use those suggestions to improve our products and business without compensation. This permission does not include customer project files, personal information, confidential house knowledge, or third-party material embedded in the suggestion; project-record improvement use is governed separately by the Platform Terms, Data Use and Model Improvement Policy, settings and any stricter agreement. You retain rights you otherwise have in your materials.
Third-party services and links
The Site may link to third-party sources or services such as scheduling tools. A link does not imply affiliation, endorsement, authority, or completeness. Independent destinations have their own terms and privacy policies. We remain responsible for our own legal duties concerning providers we engage to process information on our behalf; a third-party disclaimer does not eliminate those duties.
Illustrative figures and entitlement results
Carry costs, yields, cycle times, savings examples, financial metrics, probabilities entered by a user, and other figures are only as sound as their identified inputs and methods. Illustrations are not representations about your project, guarantees of savings or outcomes, or substitutes for your underwriting. Prebreak does not generate a single probability of governmental approval. Schedule percentiles are forecasts of identified intervals, not probabilities of approval.
No Site statement guarantees that an agency will approve a project, deem a submission complete on its first review, accept an interpretation, waive a standard, meet a date, or approve the theoretical maximum units. Internal readiness does not equal governmental acceptance. Sources, rules, site facts, and plans can be incomplete, disputed, superseded, or outside coverage. Check the applicable date, version, assumptions, exclusions, and review status.
Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ITS GENERAL INFORMATIONAL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE.
These disclaimers concern the Site. They do not negate express commitments in a separate customer agreement, excuse misrepresentation or conduct for which liability cannot lawfully be excluded, or waive statutory rights. An informational disclaimer does not make an unsupported marketing claim accurate.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PREBREAK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM SITE USE, EVEN IF ADVISED OF THE POSSIBILITY. AGGREGATE LIABILITY UNDER THESE WEBSITE TERMS WILL NOT EXCEED US$100.
These exclusions and this cap apply only to claims governed by these Website Terms. They do not cap obligations or claims governed by a separate customer or data-processing agreement and do not apply to fraud, willful misconduct, gross negligence or violations of law to the extent nonwaivable, or other liability or remedies that applicable law prohibits limiting. Where a restriction is not permitted, it applies only to the extent lawful.
Indemnity
To the extent permitted by law, you will indemnify and hold Prebreak harmless from third-party claims, damages, and reasonable expenses, including attorneys’ fees, to the extent caused by your unlawful misuse of the Site, material violation of these Terms, or infringement through material you submit. This does not apply to the extent a claim results from Prebreak’s own misconduct or breach.
We will provide prompt notice where practicable, reasonable cooperation at your expense, and an opportunity for you to control a covered defense using qualified counsel, subject to conflicts and applicable law. You may not settle a claim by admitting fault for, imposing a nonmonetary obligation on, or failing to release Prebreak without our written consent, not to be unreasonably withheld. We may participate with separate counsel at our own expense.
Governing law and venue
These Terms are governed by California law, without regard to conflict-of-laws rules. Subject to mandatory applicable law and a court’s jurisdiction, disputes under these Website Terms will be brought in the California state courts in San Bernardino County or the United States District Court for the Central District of California, and the parties consent to those courts’ jurisdiction. These Terms do not impose arbitration or a class-action waiver.
General, changes, and contact
These Terms are the entire agreement concerning the Site, subject to the separate agreements and notices identified above. If a provision is unenforceable, the remainder continues to apply. Failure to enforce is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization or transfer of the relevant business, subject to law. Assignment does not authorize incompatible use of personal information.
We may revise these Terms prospectively by posting a new effective date. We will give additional notice of material changes when appropriate or required, and obtain renewed affirmative acceptance when legally necessary. Changes do not retroactively alter accrued claims. Continued use after the effective date constitutes acceptance only to the extent permitted by law and adequate notice.
